IDEAS NCBR Ltd. with its registered office in Warsaw, National Court Register number: 0000880113, National Business Registry Number: 388065786, Tax Identification Number: 7011017605 (‘IDEAS’), in connection with the commenced merger process of IDEAS as the acquired company with Akces NCBR Limited Liability Company with its registered office in Warsaw, National Court Register number: 0000959172, National Business Registry Number: 521485907, Tax Identification Number: 7011078794 (“Akces”) as the acquiring company, the sole shareholder of which, holding 100% of the shares directly, is the National Centre for Research and Development (“NCBR”), through the transfer of all the assets of IDEAS (the acquired company), including all rights and obligations (assets and liabilities), to Akces (the acquiring company) (merger by acquisition pursuant to Article 492 § 1 point 1 of the Commercial Companies Code), which Merger will take place pursuant to Article 5151 § 1 in connection with Article 516 § 61 of the Commercial Companies Code, i.e. without increasing the share capital of Akces (the Acquiring Company) and without assigning shares in Akces to the sole shareholder of the Acquired Company, i.e. NCBR (the ‘Merger’), in accordance with Article 500 § 2 (1) of the Commercial Companies Code, IDEAS shall release to the public free of charge on its website the Merger plan agreed on 18 September 2025 in Warsaw by the Management Boards of Akces and IDEAS.
