TERMS AND CONDITIONS OF WEB SERVICES OF

IDEAS NCBR SP. Z O.O.

(HEREINAFTER: REGULATIONS)

I

General provisions

1. In accordance with the requirements of the Act on the provision of electronic services, IDEAS NCBR SP. Z O.O. with headquarters in Warsaw at ul. Chmielna 69, 00-801 Warsaw, hereinafter referred to as the “Service Provider”, establishes these Regulations for the provision of electronic services.
2. These Regulations define the rules and technical conditions for the provision of electronic services by the Service Provider via the Website.
3. Enabling the use of the Website is a Service provided electronically by the Service Provider within the meaning of the Act on the provision of electronic services under the contract concluded between the Service Provider and the User and on the basis of the Regulations.
4. Each User is required to read these Regulations before using the Website. The commencement of using the Services is tantamount to full acceptance of the terms of these Regulations.
5. These Regulations are made available free of charge via the Website, in a form that allows it to be downloaded, saved and printed.
6. Each User is obliged to comply with the provisions of the Regulations from the moment of taking steps to use the services provided through the Website.
7. Each User is obliged to comply with the prohibition of providing illegal content.

Definitions

User	an entity (a natural person, legal person or other entity without legal personality) using services provided electronically via the website www.ideas-ncbr.pl
Service Provider	IDEAS NCBR sp. z o.o. with its registered office in Warsaw at ul. ul. Chmielna 69, 00-801 Warsaw, entered under the number KRS 0000880113 to the register of entrepreneurs of the National Court Register kept by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register, NIP: 7011017605, share capital in the amount of PLN 3,000,000.00, being the owner of the website www.ideas-ncbr.pl

Services	the service provided by the Service Provider via the website www.ideas-ncbr.pl in accordance with these regulations
Regulations	these terms and conditions together with any appendices which expressly refer to them
Consumer	a natural person who performs a legal transaction with an entrepreneur (service provider) not directly related to its business activity
ICT system	a system of cooperating IT devices and software, ensuring processing and storage, as well as sending and receiving data via telecommunications networks using a terminal device appropriate for a given type of network
Contact form	a form provided by the Service Provider in an electronic form, available at: www.ideas-ncbr.pl through which users can contact the Service Provider

III

Type and scope of services provided electronically

The service provider provides services via the website consisting of:

1. free publishing on the website
2. free viewing and reading of materials (information, photos, data, descriptions) posted on the website by Users,
3. transferring data at your request (using the forms provided) to contact the Service Provider.

IV

Technical requirements

1. W celu prawidłowego i pełnego korzystania z Usług świadczonych przez Usługodawcę za pośrednictwem strony www Użytkownicy powinni dysponować:
   1. a device with access to the Internet,
   2. a web browser of at least Internet Explorer 11 or Chrome 39 or FireFox 34 or Opera 26 or Safari 5 or newer, which supports cookie technologies; Java Script, and SSL,
   3. an active e-mail account (e-mail),
   4. When using the Website, we recommend that you have up-to-date anti-virus software.
2. The user whose IT system does not meet the specified requirements has no right to pursue claims due to the inability to use the website.

V

Ways to use the website

1. Korzystając z naszej strony www możesz:
   1. use the materials available on our website only for personal use,
   2. use only in a manner consistent with the law, the provisions of these Regulations and morality, respecting intellectual property rights,
   3. to contact the Service Provider via the website

3. Korzystając z naszej strony www nie możesz:
   2. use the content available on the website for commercial purposes, in particular by copying in whole or in part, electronically transmitting or otherwise modifying or using without our prior written consent,
   3. provide illegal content,
   4. use our website in a way that violates the rights of other people,
   5. use devices, mechanisms, software or other scripts that could interfere with the operation of our website, this also applies to sending files infected with viruses,
   6. take actions that would unreasonably or excessively burden the infrastructure of our website,
   7. block, overwrite or modify the content generated by us,
   8. gain, or attempt to gain, unauthorized access to any of our networks in any way,
   9. interfere with the operation of the website in any other way.
4. The website is the subject of intellectual property rights, therefore you are obliged not to infringe these rights.

Obligations of the Service Provider

1. Access to the services provided by the Service Provider via the website is available to all website users.
2. To use the services provided by the Service Provider, it is not required to set up a User account.
3. The service provider provides access to services provided electronically, which means that he will make every effort to ensure that the website functions continuously. The Service Provider reserves that there may be interruptions in the functioning of the website in order to update data, correct errors and perform other maintenance works, as well as for other reasons beyond the Service Provider’s control (such as force majeure, actions or omissions of third parties for which the Service Provider is not responsible, etc.) – about which, as far as technically possible, it will inform Users in an accessible way, in particular by posting a message on the website.

Information sources available on the website

At www.ideas-ncbr.pl you will find:

1. Content belonging to us (including, but not limited to, documents, trademarks and other works, in particular texts, photos, graphics, audio and video materials),
2. Content belonging to third parties (including photos, product descriptions),
3. Links or hyperlinks to external websites not operated by us,
4. Links or links to external social networking sites.

Copyright

1. The Service Provider stipulates that all materials available on the website (in particular graphics, texts, photos) and not coming from the User are protected by the Act on Copyright and Related Rights. The User has the right to use them only within the permitted personal use. Copying, distributing on the Internet and other forms of using the materials posted on the website beyond the limits permitted by law is prohibited.
2. In each case where the Information or photo constitutes a work within the meaning of the Act on Copyright and Related Rights, the User grants the Service Provider a free license to use this work in the following fields of use: in terms of disseminating the work – public performance, exhibition, display, playback and broadcasting and rebroadcasting, as well as making the work available to the public in such a way that everyone can have access to it in a place and time chosen by them.
3. The license referred to in paragraph 2 above is granted when the Information is sent to the Service Provider for publication on the website – text, photos or photos, for the entire period of the Service Provider’s provision of services.
4. The User allows the Service Provider to exercise the derivative copyright to the work, i.e. in particular to modify it, shorten it and make editorial changes to it, with the right to further grant such permission, as well as to include content from the User in the work or to include the work or its part in other works, without copyright supervision on the part of the User – to the extent described above.

Complaints

2. We consider the submitted complaints immediately no later than 30 days from the date of its receipt, while in particularly complicated cases, preventing the consideration of the complaint and responding to it within 30 days, we will inform you about the expected date of response, which may not, however, exceed 60 days from the date of receipt, in the case of the User – a natural person or a natural person running a business, and in the case of a User other than a natural person or a natural person running a business, this period may not exceed 90 days from the date of receipt of the complaint.
3. We will send a response to the complaint in paper form or, if you have submitted such a request, by means of another medium, in particular by e-mail or in another agreed form.
4. Użytkownik będący Konsumentem posiada następujące przykładowe możliwości skorzystania z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń:
   1. The User is entitled to apply to a permanent amicable consumer court, referred to in Article 37 of the Act of 15 December 2000 on the Trade Inspection (Journal of Laws of 2001, No. 4, item 25, as amended), with a request to resolve the dispute arising from the concluded contract for the provision of Services,
   2. The User is entitled to apply to the provincial inspector of the Trade Inspection, in accordance with Article 36 of the Act of December 15, 2000 on the Trade Inspection (Journal of Laws 2001, No. 4, item 25, as amended), with a request to initiate mediation proceedings on amicable settlement of the dispute between the User and the Service Provider,
   3. The User may obtain free assistance in resolving a dispute between him and the Service Provider, also using the free assistance of a Poviat (municipal) consumer ombudsman or a social organization whose statutory tasks include consumer protection (including the Consumer Federation, Association of Polish Consumers),
   4. at the address: http://ec.europa.eu/consumers/odr there is an online platform for resolving disputes between consumers and entrepreneurs at the EU level (ODR platform). The ODR platform is an interactive and multilingual website with a one-stop shop for consumers and entrepreneurs seeking out-of-court settlement of a dispute regarding contractual obligations arising from an online sales contract or contract for the provision of services.
5. Regardless of the complaint procedure described above, you have the right to bring an action to the competent common court at any time.

Liability

1. The use of the Website is solely at the expense and risk of the User.
2. The Service Provider’s liability for non-performance or improper performance of the Service Provision Agreement is limited to the actual losses documented by the User, excluding lost profits.
3. Usługodawca nie ponosi odpowiedzialności za:
   1. damages resulting from the use of the website by Users in a manner inconsistent with the law or the Regulations, in particular for the disclosure of personal data,
   2. damages resulting from the User’s use of data and information from the website for economic, investment, business, etc. purposes,
   3. damage caused by the disclosure of personal data in accordance with the Regulations or generally applicable law,
   4. damage caused by external factors (e.g. cable, hardware, software failure) or other reasons beyond the Service Provider’s control,
   5. the content of information and photos posted on the website by Users.
4. The Service Provider reserves that all content on the website is for informational or promotional purposes only and may not be treated in a legally binding manner between the Service Provider and the User.

XII

Termination of the contract for the provision of services

1. The contract for the provision of free Services provided by the Service Provider is terminated as a result of the User ceasing to use the website or with the expiry of the period of publication of the Information.

Processing of personal data

1. By using the services, we process users’ personal data for the purpose and scope of providing the services to the user.
2. The administrator of Users’ personal data is IDEAS NCBR Sp. z o. o.o.

XIV

Final Provisions

1. The Service Provider has the right to unilaterally amend the Regulations. Amendments to the Regulations come into force after 14 days from the publication of the amended Regulations on the website.
2. The Service Provider will notify Users about the change in the Regulations by sending appropriate information to their e-mail addresses.
3. If the User does not accept the new content of the Regulations, he is obliged to notify the Service Provider of this fact before the Regulations enter into force.
4. Lack of acceptance of the new version of the Regulations effects the need to remove all information provided by the User.
5. Failure of the User to notify the Service Provider about the lack of its acceptance prior to the entry into force of the Regulations shall be deemed as acceptance of the changes to the Regulations.
6. The content of the Regulations may be recorded by printing, saving on a carrier or downloading at any time from the website.
7. In the event of a dispute, the parties will endeavour to resolve it amicably.
8. If it is not possible to resolve the dispute amicably, it will be submitted to a competent common court for resolution.
9. The law applicable to all disputes is Polish law.
10. In matters not covered by these Regulations, generally applicable provisions of Polish law shall apply.
